Terms & Conditions for Connexy

Please read these Terms and Conditions (“Terms”) carefully before accessing or using Connexy’s website, platforms, software, or services. By accessing or using any part of our website or services, you agree to be bound by these Terms.

If you do not agree to all of the Terms, you may not access the website or use our services.


1. Introduction

Connexy (“Connexy”, “we”, “us”, or “our”) is a patient acquisition systems agency that provides end-to-end acquisition infrastructure for dental clinics and healthcare providers. Our services may include marketing strategy, advertising support, CRM implementation, automation, follow-up systems, communication workflows, analytics, and sales training.

Connexy operates as an independent service provider. Connexy does not provide medical or dental services, does not diagnose or treat patients, and does not make clinical or healthcare decisions. All healthcare services are provided solely by the clinics.


2. Scope of Services

Connexy provides complete patient acquisition systems, which may include, but are not limited to:

Marketing strategy and advertising support

Lead generation and funnel architecture

CRM setup, configuration, administration, and optimization

Automated and manual follow-up systems (calls, SMS, email, messaging)

Sales scripts, training, coaching, and quality assurance

Call tracking, reporting, analytics, and performance monitoring

Operational workflows related to patient acquisition

Connexy delivers systems, infrastructure, and operational support, not medical services or guaranteed business outcomes.


3. Nature of the Relationship

Connexy acts solely as an independent patient acquisition systems agency and contractor.

Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, franchise, or legal agency relationship between Connexy and any clinic beyond the provision of acquisition systems and related services.

Clinics retain full control over pricing, patient eligibility, treatment decisions, staffing, and regulatory compliance.


4. Clinic Responsibilities

By engaging Connexy, clinics agree to:

Provide accurate, complete, and lawful business information

Ensure that all data shared with Connexy is legally obtained

Obtain all required patient consents for marketing, communication, and CRM usage

Comply with applicable healthcare, advertising, and privacy laws

Properly use the acquisition systems provided by Connexy

Connexy is not responsible for outcomes resulting from clinic non-compliance, operational failures, or deviation from recommended processes.

4A. Clinic Conduct, Ethical Standards & Right to Suspension

Clinics represent and warrant that they provide dental care in a lawful, ethical, and professional manner consistent with generally accepted industry standards.

Clinics agree not to engage in deceptive, fraudulent, abusive, or unethical practices, including but not limited to:

Misrepresenting treatment plans, pricing, or expected outcomes

Providing unsafe, negligent, or substandard care

Intentionally misleading, financially harming, coercing, or extorting patients

Connexy does not provide medical services and does not supervise clinical care. However, if Connexy, in its reasonable judgment, determines that a clinic:

Fails to meet minimum ethical or professional standards, or

Actively and intentionally harms, deceives, or exploits patients financially

Connexy reserves the right to immediately suspend or terminate all services, revoke access to its systems, software, infrastructure, CRM, and acquisition tools, and cease all ongoing activities with the clinic without prior notice.

In such cases, no refunds, credits, or reimbursements shall be owed, and Connexy shall bear no liability arising from such suspension or termination.


5. Patient Data & System Access

a. As part of system delivery, clinics may grant Connexy limited access to CRM platforms and communication systems containing patient or lead information.

b. Connexy accesses such data only on behalf of the clinic and solely for system configuration, monitoring, training, quality assurance, optimization, and technical support.

c. Clinics remain the data controllers and are solely responsible for patient consent, disclosures, retention policies, and compliance with healthcare and privacy laws (including HIPAA or equivalent).

d. Connexy does not own, sell, or independently exploit patient data.


6. Fees, Billing & Payments

Fees for Connexy’s acquisition systems and services are agreed upon separately in a written proposal, order form, or service agreement.

Unless otherwise stated in writing:

Fees are non-refundable

Services may be billed upfront, monthly, or on a recurring basis

Failure to pay may result in suspension or termination of access to systems

Connexy does not collect payments from patients and is not involved in clinic treatment billing.


7. No Guarantees or Performance Claims

Connexy does not guarantee:

Patient volume, lead quantity, or appointment bookings

Revenue, profit, or return on investment

Conversion rates or advertising performance

Platform approvals or uninterrupted system availability

All examples, calculators, projections, or estimates are illustrative only. Results vary based on clinic execution, budget, market conditions, and external factors beyond Connexy’s control.


8. Intellectual Property & System Licensing

All systems, workflows, automation logic, scripts, training materials, documentation, and methodologies provided by Connexy remain the intellectual property of Connexy unless otherwise agreed in writing.

Clinics are granted a limited, non-exclusive, non-transferable license to use these systems solely for their internal operations during the term of engagement.


9. Confidentiality & Data Protection

Both parties agree to maintain the confidentiality of non-public information exchanged during the relationship.

Connexy’s handling of clinic and patient data is governed by its Confidentiality & Data Protection Policy, which is incorporated by reference into these Terms.


10. Acceptable Use of Systems

Clinics agree not to:

Use Connexy systems for unlawful, deceptive, or unethical purposes

Violate advertising platform rules or communication laws

Misuse messaging, calling, or automation systems

Attempt to copy, resell, or reverse engineer Connexy systems

Connexy may suspend or terminate access if misuse, abuse, or compliance risk is identified.


11. Limitation of Liability

To the maximum extent permitted by law, Connexy shall not be liable for:

Indirect, incidental, special, or consequential damages

Loss of revenue, business opportunities, or data

Patient complaints, treatment outcomes, or regulatory enforcement

Third-party platform failures or changes

Connexy’s total liability, if any, shall not exceed the fees paid to Connexy for the services giving rise to the claim.


12. Indemnification

Clinics agree to indemnify and hold harmless Connexy from any claims, damages, liabilities, or expenses arising from:

Clinic business practices or representations

Patient communications or treatment outcomes

Failure to obtain lawful patient consent

Violations of healthcare, advertising, or privacy laws


13. Termination

Connexy may suspend or terminate services if:

Fees are unpaid

These Terms are breached

Continued service presents legal, compliance, or reputational risk

Termination does not relieve clinics of outstanding payment obligations.


14. Updates to Terms

Connexy may update these Terms at any time. Continued use of Connexy’s services constitutes acceptance of the updated Terms.


15. Governing Law

These Terms are governed by and interpreted in accordance with the laws of the Province of Quebec, Canada, without regard to conflict-of-law principles.
