Terms & Conditions

The terms that govern the relationship between Connexy and dental clinics that purchase the Connexy Miroir. Please read carefully before purchasing.

By signing a service agreement or making a payment, you agree to these Terms. The Connexy Miroir is a single-plan offering at $3,997 setup + $349 per month. The iPad is included free and stays with you for life. A 90-day money-back guarantee applies to the setup fee, with specific usage conditions. These Terms apply to dental clinics in the United States and are governed by the laws of the Province of Quebec, Canada.

Definitions

In these Terms and Conditions, the following definitions apply:

  • "Connexy" means Connexy Inc., a technology company headquartered in Montreal, Quebec, Canada, reachable at [email protected].
  • "Client" means the dental clinic owner or authorized representative who purchases the Connexy Miroir service.
  • "Connexy Miroir" or "the Miroir" means the smile-preview iPad system shipped to the Client's clinic, including the iPad, the staff-facing application, the on-iPad guided checklist, the automated email follow-up, and the backend processing infrastructure operated by Connexy.
  • "Setup Fee" means the one-time payment of $3,997 USD paid before the iPad is shipped.
  • "Monthly Fee" means the recurring subscription payment of $349 USD per month, beginning on the date the Miroir goes live at the Client's clinic.
  • "Additional iPad" means any further iPad added to the same clinic location after the initial setup. Pricing: $1,997 USD setup + $97 USD per month per additional iPad. Each additional iPad adds 75 simulations per month to the location's allowance.
  • "Simulation" or "Use" means one instance of the Connexy Miroir being operated with a patient, resulting in one smile preview being generated, regardless of whether the patient subsequently accepts treatment.
  • "Monthly Allowance" means the number of simulations included in the Client's monthly subscription: 200 simulations per month for the base plan, plus 75 per additional iPad.
  • "Guarantee Period" means the first 90 calendar days following the date the Miroir goes live at the Client's clinic.

Acceptance of these terms

By signing a service agreement, completing a purchase, or making any payment to Connexy, the Client confirms that they have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If the Client does not agree, they must not purchase or use the Connexy Miroir.

These Terms constitute the entire agreement between Connexy and the Client and supersede any prior communications, representations, or agreements, whether oral or written, relating to the subject matter herein.

Description of the service

The Connexy Miroir service includes the following components, delivered as a single integrated offering:

  • Pre-configured iPad: shipped to the Client's clinic with the Miroir application installed and locked in fullscreen mode. The iPad is included free and stays with the Client.
  • Miroir staff application: the smile-preview tool used by clinic staff during in-chair patient consultations. Locked fullscreen, no setting changes available.
  • On-iPad guided checklist: a built-in step-by-step interface that guides clinic staff through each patient session, from intake to result reveal.
  • Automated email follow-up: after every patient session, an automated email is sent to the patient with their generated preview, from the clinic's own email sender.
  • Monthly allowance: 200 simulations per billing month, with notifications at 75% and 90% of the allowance.
  • 90-day session tracking: Connexy monitors session counts in the Client's account to verify compliance with the guarantee.
  • Backend infrastructure: the cloud services that generate the preview, deliver the email, and store usage records on behalf of the Client.

Connexy reserves the right to update, improve, or modify any aspect of the service at any time, provided that such changes do not materially reduce the core functionality of the Miroir during an active contract period.

Pricing and payment

All prices are in United States Dollars (USD) and exclude any applicable taxes, which may be added depending on the Client's jurisdiction.

  • Setup Fee: $3,997 one-time, paid before the iPad ships. Includes the iPad, configuration, shipping, and onboarding materials. The iPad is included free as part of the setup.
  • Monthly Fee: $349 per month, beginning on the date the Miroir goes live at the Client's clinic.
  • Additional iPad: $1,997 setup + $97 per month per additional iPad at the same location, adding 75 simulations per month to the location's allowance.
  • Overage: $59 per additional 75 simulations beyond the monthly allowance, billed immediately each time the allowance is exceeded. Allowance resets each month and does not roll over.
  • Each clinic location is a separate plan. One agreement cannot cover multiple locations. A new clinic location requires its own setup.

Payment terms: The full Setup Fee must be paid and cleared before any iPad is shipped or any service is activated. Monthly Fees are billed on the same date each month from the date of first payment. All payments are processed securely through our payment processor.

Failed payments: If a Monthly Fee fails to clear, Connexy reserves the right to suspend access to the Miroir service until the outstanding balance is settled. Repeated failed payments may result in termination of the agreement.

Price changes: Connexy may adjust pricing on prospective monthly billing with at least thirty (30) days' written notice to the Client. Price changes will not take effect during an active Guarantee Period.

Minimum commitment and cancellation

The Client agrees to a minimum 90-day commitment beginning at go-live. Specifically:

  • The first three (3) Monthly Fees ($349 × 3 = $1,047) must be paid in full regardless of usage, satisfaction, or any other factor, except in cases where Connexy fails to deliver the iPad or fails to activate the service.
  • No cancellation is permitted during the initial 90-day Guarantee Period.
  • After the 90-day Guarantee Period, the agreement continues on a month-to-month basis and may be cancelled by the Client at any time with thirty (30) days' written notice to [email protected].

Upon cancellation after the 90-day period, the Client retains access to the service until the end of the current billing cycle. No partial-month refunds are issued.

Cancellation and refund are separate. Cancelling the service does not entitle the Client to a refund of the Setup Fee. The Setup Fee refund is available only under the conditions in Section 6 below.

The 90-day guarantee

Connexy offers a conditional money-back guarantee on the Setup Fee, subject to all of the following terms:

  • Eligibility: the guarantee applies to the one-time Setup Fee only. Monthly Fees are non-refundable under any circumstance.
  • Usage requirement: the Client must use the Connexy Miroir with at least 50 unique patient sessions within the 90-day Guarantee Period. Sessions are counted automatically by Connexy directly from the Client's account, and Connexy's session count is final and binding.
  • Three monthly payments required: all three Monthly Fees within the Guarantee Period ($349 × 3 = $1,047) must be completed before the Client is eligible to claim the refund.
  • Performance condition: the Client must demonstrate that, despite completing 50 or more sessions, there was no measurable movement in higher-value treatment acceptance compared to the period immediately preceding the Miroir's activation.
  • Review call: at the end of the 90-day Guarantee Period, Connexy and the Client will conduct a review call to assess results. The refund request must be made during or immediately following this call. Refund requests submitted after the review call has concluded will not be accepted.
  • Claiming the refund cancels the plan. Receiving the refund automatically and immediately terminates the Client's access to the Connexy Miroir service. The Client cannot claim a refund and continue using the Miroir. It is one or the other.
  • iPad retention: the Client retains the iPad regardless of whether a refund is claimed. The iPad is never required to be returned.
  • Additional iPads: if Additional iPads were purchased, they are refunded at 50% of their Setup Fee ($1,997 × 50% = $998.50 per Additional iPad). The same usage and performance conditions apply.
  • Exclusions: the guarantee does not apply if the Client failed to reach 50 sessions, if the Client caused technical issues that prevented use, if the Client is in material breach of these Terms, or if any of the conduct in Section 11 applies.

The iPad is yours, regardless. Even on a full refund, the iPad stays with you.

iPad ownership and device policy

The iPad shipped to the Client is included free in the Setup Fee and becomes the property of the Client upon receipt. The following conditions apply:

  • Ownership: the Client owns the iPad outright from the moment it is received. There is no lease or rental arrangement, and no return is ever required.
  • Manufacturer warranty and repairs: each iPad ships with manufacturer warranty coverage arranged by Connexy. In the event of damage, the Client must contact Connexy first and ship the iPad back to Connexy, which will manage the warranty claim and repair process on the Client's behalf. The Client must not contact the device manufacturer directly regarding the device.
  • Return shipping for repairs: the Client is responsible for packaging the iPad securely for return shipping. Connexy will provide instructions upon notification of damage.
  • Shipping timeline: iPads are shipped within two (2) to three (3) weeks of the Setup Fee clearing. Connexy is not responsible for delays caused by the shipping carrier, customs, or other circumstances beyond its reasonable control.
  • Risk of loss: risk of loss passes to the Client upon delivery of the iPad to the Client's address. Connexy is not liable for iPads lost or damaged in transit after delivery.
  • Tampering: the Client must not attempt to modify, jailbreak, unlock, or otherwise alter the iPad or the Miroir software. Doing so voids the guarantee and may result in immediate termination of the service without refund.

Usage limits and overages

The Monthly Allowance is 200 simulations per month, plus 75 simulations per Additional iPad at the same location.

One simulation is defined as one instance of the Connexy Miroir being operated with a patient, resulting in one smile preview being generated, regardless of whether the patient submits their contact information or accepts treatment.

Overage billing: when the Monthly Allowance is exceeded, additional simulations are billed at $59 per 75 simulations (or part thereof), charged immediately at the time the overage occurs.

Monthly reset: unused simulations do not carry over to the following month. They expire at the end of each billing cycle.

Connexy reserves the right to temporarily suspend simulation access if overage charges remain unpaid for more than fourteen (14) days after billing.

Additional iPads and locations

Clients may add Additional iPads to their existing plan under the following conditions:

  • Pricing: $1,997 one-time setup per Additional iPad, plus $97 per month per Additional iPad added to the base Monthly Fee.
  • Same location only: Additional iPads under this section must be deployed at the same physical clinic location as the original setup. Each new physical location requires its own separate agreement.
  • Allowance contribution: each Additional iPad adds 75 simulations per month to the location's allowance.
  • Same device policy: the ownership, warranty, repair, and tampering rules in Section 7 apply equally to Additional iPads.
  • Guarantee on Additional iPads: if a refund is claimed under Section 6, Additional iPads are refunded at 50% of their Setup Fee ($998.50 per Additional iPad), subject to the same usage and performance conditions.

Client obligations

The Client agrees to the following obligations for the duration of their agreement with Connexy:

  • Operate the Miroir in compliance with all applicable healthcare, privacy, and consumer-protection laws in the Client's jurisdiction.
  • Ensure that staff members who use the Miroir have been made aware of proper usage and do not attempt to tamper with the device or access restricted settings.
  • Present the iPad to each patient in a manner consistent with informed consent. The on-iPad consent flow must be completed for every patient session.
  • Notify Connexy promptly in the event of device damage, loss, or malfunction, and follow the warranty repair process described in Section 7.
  • Pay all Setup Fees, Monthly Fees, and overage charges on time as described in Sections 4 and 8.
  • Maintain accurate billing and contact information on file with Connexy.
  • Not resell, sublicense, or otherwise transfer access to the Miroir to any third party.
  • Use the Miroir only for its intended in-chair consultation purpose and not for any unlawful, deceptive, fraudulent, abusive, or unethical purpose.

The Client remains the data controller for patient information it retains in its own records. Connexy acts as a service provider processing data on the Client's behalf.

Ethical use and right to suspend

The Connexy Miroir is designed to help honest, well-run dental clinics close more high-value cases. It is not intended to support deceptive or harmful practices.

Clinics represent and warrant that they provide dental care in a lawful, ethical, and professional manner consistent with generally accepted industry standards. Clinics agree not to:

  • Misrepresent treatment plans, pricing, or expected outcomes to patients.
  • Provide unsafe, negligent, or substandard care.
  • Use the Miroir to coerce, mislead, financially harm, or extort patients.
  • Capture biometric data or facial photographs from a patient who has not completed the on-iPad consent flow.
  • Misrepresent the simulated preview as a guaranteed clinical outcome.
  • Circumvent the Miroir's session tracking, allowance limits, or consent capture.
  • Operate the iPad in a manner that risks patient safety or violates infection-control standards.

If we determine, in our reasonable judgment, that a clinic is harming or deceiving patients, we reserve the right to immediately suspend or terminate the service.

If Connexy, in its reasonable judgment, determines that a clinic is failing to meet minimum ethical or professional standards, or is actively harming or deceiving patients, Connexy reserves the right to immediately suspend or terminate the service, revoke access to the iPad and the Miroir, and cease all activities with the clinic without prior notice. In such cases, no refunds, credits, or reimbursements shall be owed, and Connexy shall bear no liability for the suspension or termination.

Intellectual property

All intellectual property rights in the Connexy Miroir — including the staff application, the on-iPad checklist, the prompts and methodology used to generate previews, the simulation infrastructure, documentation, brand marks, and methodologies — remain the exclusive property of Connexy.

The Client is granted a limited, non-exclusive, non-transferable license to use the Connexy Miroir on the iPads provided by Connexy, solely for the Client's internal patient-consultation use, for the duration of the active service agreement. This license terminates immediately upon cancellation or termination of the agreement.

The Client agrees not to copy, modify, decompile, reverse engineer, or attempt to replicate any part of the Connexy Miroir software or methodology, and not to remove or obscure any Connexy branding, version markers, or confidentiality notices on the iPad or in the Miroir.

Limitation of liability

To the maximum extent permitted by applicable law, Connexy and its officers, employees, contractors, and affiliates shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost profits, or lost business opportunities.
  • Any failure of the Client to close treatment cases or increase revenue, as case acceptance depends on factors outside Connexy's control — including the Client's sales skills, pricing, patient demographics, staff adoption, and market conditions.
  • Any downtime, interruption, or failure of third-party services used to deliver the Connexy Miroir.
  • Any patient data breaches arising from the Client's own systems, practices, or negligence.
  • Patient complaints, treatment outcomes, or any clinical event arising from the Client's use of the Miroir.
  • Any regulatory or legal issues arising from the Client's use of the Miroir in their jurisdiction.

Connexy's total liability to the Client under these Terms, for any reason, shall not exceed the total amount paid by the Client to Connexy in the twelve (12) months preceding the event giving rise to the claim.

Data, privacy, and HIPAA

The collection, use, and storage of personal information in connection with the Connexy Miroir is governed by Connexy's Confidentiality Policy, which forms part of this agreement and is incorporated by reference.

Patient information stored in the Client's account belongs to the Client. Connexy accesses it solely to operate the Miroir on the Client's behalf and to verify session counts for the 90-day guarantee.

HIPAA and Business Associate Agreements

Connexy is a technology provider. The Client remains responsible for ensuring that its use of the Miroir complies with applicable health-information privacy laws in its jurisdiction, including HIPAA where applicable.

BAA available on request. When a covered dental practice uses the Connexy Miroir in a manner that involves Protected Health Information under HIPAA, Connexy acts as a Business Associate of that practice and will execute a Business Associate Agreement upon written request to [email protected]. Under the BAA, Connexy processes Protected Health Information solely to provide the Connexy Miroir service.

Upon termination of the agreement, the Client retains full ownership of and access to patient data in its own records.

Termination

Either party may terminate this agreement under the following conditions:

  • Client termination after the Guarantee Period: the Client may cancel with thirty (30) days' written notice to [email protected], effective at the end of the then-current billing month.
  • Connexy termination for cause: Connexy may terminate immediately and without refund if the Client breaches any material provision of these Terms, including but not limited to tampering with the device, non-payment beyond thirty (30) days, unauthorized use of the software, or conduct described in Section 11.
  • Effect of termination: upon termination, the Client's access to the Miroir service is deactivated. The Client retains the iPad and any patient data held in its own records.
  • Guarantee and termination: as stated in Section 6, claiming the refund constitutes immediate termination of the agreement. The Client cannot simultaneously claim a refund and continue using the service.

Governing law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms shall first be addressed through good-faith negotiation between Connexy and the Client. If a dispute cannot be resolved within thirty (30) days, both parties agree to submit the dispute to binding arbitration administered in Montreal, Quebec, in English, under the rules of the Canadian Arbitration Association. The arbitrator's decision shall be final and binding.

This arbitration clause applies to business-to-business disputes between Connexy and the Client. It does not apply to patients of the Client. Connexy has no direct contractual relationship with the patients of any clinic.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Changes to these terms

Connexy may update these Terms from time to time. When material changes are made, Connexy will notify active Clients by email at least thirty (30) days before the changes take effect.

Continued use of the Connexy Miroir after the effective date of any changes constitutes the Client's acceptance of the updated Terms.
